Police were called to a home on Park Street, Portland – on the coast between Warrnambool and the South Australian border – about 7.30pm on Thursday.
They found a man dead and arrested another at the home.
Police said the dead man was yet to be formally identified and the arrested man was assisting with their inquiries.
The men knew each other but detectives, who didn't provide ages for either man, were still working to figure out what had happened.
A crime scene has been established.
